Agreement and eligibility
By installing, accessing, or using Sold Countly & Reviews, the merchant agrees to these Terms of Service. The app is operated by AI Ecommerce Solutions.
A person using the app for a Shopify store should have authority to act for that merchant and to configure apps, storefront components, subscriptions, reviews, and related store data.

Service description
Sold Countly & Reviews combines purchase-verified review workflows with factual storefront signals. Depending on feature eligibility and merchant configuration, the service can include:
- Sold-count initialization and ongoing eligible order/refund adjustments.
- Current tracked availability display.
- Recent observed cart-activity display for eligible selected variants.
- Stock-cycle based Selling Fast messaging for eligible tracked variants.
- Product-scoped purchase-verified review requests and review submission.
- Review photo/short-video handling, merchant moderation, and merchant replies.
- Separate Excel review import and import moderation workflows.
- Shopify-centered subscription management and merchant billing/tax profile administration.
- Authenticated merchant-to-support conversations.
Individual features can depend on Shopify order state, inventory tracking, theme/app-extension setup, permissions, product data, network availability, or other technical conditions.

Merchant responsibilities
The merchant is responsible for:
- Maintaining a valid Shopify store and the permissions needed to install and use the app.
- Providing accurate business, billing, tax, support, and app-setting information when requested.
- Enabling and configuring relevant storefront app components where needed.
- Reviewing merchant-controlled moderation, import, display, and support actions before confirming them.
- Maintaining its own store policies, customer notices, legal disclosures, tax obligations, and compliance responsibilities.
- Using the service only for lawful business purposes and consistently with Shopify's applicable platform terms.
The app is not a substitute for the merchant's own legal, tax, accounting, inventory, customer-service, or platform-compliance responsibilities.

Reviews, review media, and imported content
Native purchase-verified reviews are designed to originate from eligible Shopify purchase data and remain subject to the app's review eligibility and merchant moderation state. Imported Excel reviews use a separate workflow and are not automatically represented as purchase-verified reviews.
Merchants control supported review moderation actions before eligible content is presented publicly.
A merchant should import only review content it is permitted to use and should not knowingly upload fabricated, misleading, unlawfully obtained, or infringing review content.
A merchant or reviewer submitting media should have the permission or rights needed for the app to process and display that media through the requested review workflow.
To operate the requested feature, the merchant permits the app to store, process, technically transform where needed, and display eligible submitted or imported content according to the merchant's settings and moderation state.
AI Ecommerce Solutions may restrict or remove access to content when reasonably needed for security, platform requirements, suspected abuse, legal obligations, or protection of the service.

Storefront signals and factual presentation
Sold count, availability, recent cart activity, and Selling Fast are designed to use the implemented data rules for each feature. They are not intended to be manually invented urgency claims.
Store data can change between observations, webhooks can be delayed, Shopify data can be unavailable, inventory can be edited, customers can modify carts, and network conditions can affect update timing. Merchants should not treat optional storefront signals as accounting records, authoritative real-time inventory systems, or promises of future customer demand.

Billing, subscriptions, and free trial
The current public configuration presents a $11.99 Monthly plan and a $129.49 Yearly plan. Both current options are configured with a 7-day free trial. The current Yearly price reflects the configured annual discount.
Plan selection and subscription management are handled through Shopify App Pricing. A public website click does not itself establish an active paid subscription. Subscription status is determined through Shopify's billing state and the applicable plan flow presented to the merchant.
Shopify can handle subscription charge approval, trial behavior, billing intervals, plan changes, invoicing, and related billing events under its platform billing flow. Applicable taxes can depend on Shopify billing details, merchant information, and applicable requirements.
Prices or plan configuration can change in the future. Any pricing change should be reflected in the public Pricing page and handled through the applicable Shopify billing process.
Refunds, credits, cancellations, and the financial effect of plan changes are not subject to a blanket promise from this website. They follow the applicable Shopify billing flow, the circumstances of the request, and applicable legal obligations.

Acceptable use
A merchant must not use the service to:
- Submit or encourage knowingly fake, deceptive, or misleading reviews or storefront proof.
- Misrepresent imported reviews as purchase-verified when they are not verified by the native order-backed workflow.
- Upload malware, executable/script payloads through unsupported fields, or content intended to disrupt the service.
- Attempt to bypass authentication, shop scoping, moderation restrictions, billing checks, or security controls.
- Use another merchant's data or credentials without authorization.
- Use the service to infringe intellectual-property, privacy, publicity, contractual, or other rights.
- Use the service for unlawful, abusive, fraudulent, or harmful activity.

Shopify and third-party services
Sold Countly & Reviews depends on Shopify services and can also depend on production hosting, database/storage infrastructure, file/media processing, and email delivery services. Those external systems can have their own terms, service limits, outages, changes, or security requirements.
Shopify is a separate platform provider. The merchant's Shopify relationship remains governed by Shopify's own applicable agreements, policies, billing flows, and technical requirements.
AI Ecommerce Solutions can need to modify app behavior when Shopify APIs, platform requirements, app-review requirements, theme-extension behavior, or other external service dependencies change.

Privacy and data handling
The categories of personal and operational information processed by the service are described in the Privacy Policy. Privacy and data handling are subject to that policy, the merchant's own responsibilities, applicable Shopify requirements, and applicable law.
Merchants should not send passwords, access tokens, API secrets, or other unnecessary credentials through reviews, imported content, or support messages.

Help & Support
Installed merchants can use the authenticated in-app Help & Support conversation system for store-specific support. The support module provides durable conversation threads, status, unread state, and supported private attachments.
Email notifications can be used as a notification channel, but email delivery can fail or be delayed and is not the support thread itself. The in-app conversation remains the primary support record.
No fixed response or resolution time is promised unless a separate written service commitment expressly states one.

Service availability and changes
AI Ecommerce Solutions can update, maintain, improve, limit, or change parts of the service to address bugs, security issues, platform changes, product improvements, legal requirements, or service operations.
The service is not represented as uninterrupted or error-free. Maintenance, Shopify outages, hosting issues, browser/theme differences, network conditions, third-party outages, or defects can temporarily affect access or feature behavior.
Material public feature or pricing changes should be reflected in the relevant public product pages before or when those changes are made available to merchants.

Suspension, uninstall, and termination
Access to some or all app features can end when the app is uninstalled, the applicable subscription is no longer active, Shopify restricts the app/store relationship, or use of the service materially violates these terms or creates a security or legal risk.
Data retention and deletion after uninstall or termination follow the Privacy Policy, Shopify privacy requirements, operational retention rules, and applicable legal obligations rather than a blanket immediate-deletion promise.

Disclaimers and limits of purpose
The app is designed to provide merchant review workflows and factual storefront context based on the implemented data available to it. It does not promise:
- Increased sales, conversion rate, revenue, ranking, customer trust, review volume, or customer action.
- That every eligible review-request email will be delivered, opened, or result in a review.
- That optional storefront activity will always be available or update without delay.
- That the app replaces professional legal, tax, accounting, security, or compliance advice.
- That every Shopify theme, third-party app, browser, or future platform change will work without adjustment.
To the extent permitted by applicable law, the service is provided subject to the limitations and conditions described in these terms and the Shopify platform environment. Rights that cannot lawfully be excluded remain unaffected.

Responsibility and applicable law
Each party remains responsible for its own acts and obligations under applicable law. Nothing in these terms limits liability or remedies where such a limitation is prohibited by law.
Because merchants can operate in different jurisdictions, mandatory rights, remedies, dispute procedures, venue rules, and other legal requirements can vary. Applicable mandatory law continues to apply regardless of whether a jurisdiction-specific clause is stated on this page.

Changes to these terms
These terms can be updated when the service, billing model, platform requirements, legal requirements, or business operations change. A revised version will show an updated date.
Material changes that require notice or consent will be handled in a manner appropriate to the applicable merchant relationship, Shopify billing/platform flow, and applicable law.
